    Responsibilities

    The Post-M&A Specialist is responsible for managing and guiding the successful integration of acquired companies into the existing business operations. The position will ensure seamless integration, maximize synergies, and achieve the desired strategic objectives of mergers and acquisitions. This position has no direct supervisory responsibilities.

    Essential Job Functions
    • Lead the development of post-closing integration plans, manage timelines, coordinate cross-functional teams, and ensure seamless integration and synergy.
    • Contribute to business development initiatives including pre-deal diligence reviews while planning integration.
    • Collaborates and supports multiple acquisitions simultaneously with C-level management.
    • Collaborates and supports the full deal lifecycle from signed LOI to closing.
    • Prepares investment project documents required for internal approval.
    • Identify potential risks associated with the integration process; develop and implement risk mitigation plan in multiple functional areas.
    • Restructure acquired companies’ organizational structures, processes, and functional alignments to optimize operational efficiency and collaboration.
    • Serves as the primary point of contact between seller, internal/external, and stakeholder parties.
    • Guides each transaction through cross functional due diligence activities including Financial, Legal, Operations, and Human Resources.
    • Estimates project timelines and expected outcome and provides C-level management with periodic updates on progress.
    • Collects, reviews, and disburses all diligence documentation and deliverables.
    • Performs other duties as assigned.

    Physical Requirements

    • Ability to lift up to 15 pounds at times.

    Other Requirements
    • Business level English – read/write/speak/listen.
    • Basic level Japanese preferred – read/write/speak/listen.
    • Ability to work independently and as a team.
    • Ability to adapt to frequent changes in assignments and workload.
    • Bachelor’s Degree in business, finance, or related field, Master’s Degree is a plus.
    • Minimum 5 years of analytical work and relevant M&A transaction execution experience at a top-tier investment bank, strategy consulting firm, or in a M&A department of a large-scale corporation. 10 years of relevant experience preferred.
    • Experience in re-engineering, turnarounds or business integrations, with a demonstrated aptitude for quantitative and qualitative analysis.
    • Relevant certifications is a plus.
    • Travel to domestic/international as necessary

    Knowledge and Skills
    • Excellent problem-solving, project management, facilitation, and interpersonal skills.
    • Extensive knowledge of M&A best practices, integration frameworks, and change management principles.
    • Experiences in evaluating the implementing post-M&A enhancements, such as technology integrations, or process improvements.
    • Knowledge of relevant legal and regulatory requirements related to post-M&A activities.
    • Strong strategic investment analysis skills.
    • Ability to adapt to new challenges and ideas.
    • Ability to comfortably manage multiple projects simultaneously with a high degree of sensitivity and confidentiality.
    • Ability to handle high end, complex project with exposure to C-level management.
    • Ability to perform modeling of mergers and acquisitions and evaluate external company profiles for economic health (P&L, balance sheet, cash flow, etc.).
    • Ability to evaluate strategic investment opportunities through basic operational/commercial due diligence.
    • Ability to perform the deal process: sourcing of strategic investment opportunities, preparation of information memorandum, due diligence, and management presentation, contact with strategic partners.
    • Ability to support the development of the investment strategy and direct the establishment of appropriate policies and procedures to ensure the financial goals.
    • Proficient with Microsoft Office Suite and strong written and verbal communication skills.
