Actual compensation will depend on a candidate’s education, experience, skills, and geographic location. The anticipated wage for this position is
$177,000 – $259,600

We are seeking an experienced, collaborative, meticulous Senior Director-Counsel to join our Transactions Center of Excellence within the Legal department. In this role, you will lead and manage a broad range of corporate transactions and work on cross-functional project teams. You will collaborate with business team members across the organization to ensure that the Transactions team is providing the highest level of service and counsel to bring medicines to patients in need. This role reports to the Associate Vice-President and Assistant General Counsel, Transactions Center of Excellence. We prefer that this attorney be located in Indianapolis, Indiana, but will consider remote applicants.

Responsibilities:

This multidisciplinary position requires that you effectively draft, review and negotiate a variety of complex agreements related to the acquisition and licensing of pharmaceutical intellectual property and other assets, as well as collaboration agreements between two or more organizations. This person will partner and collaborate with large negotiation teams across a variety of functions, including business development, finance, accounting, tax, ethics and compliance, human resources and Lilly’s research & development labs, in all phases of the transactional lifecycle. The attorney will provide strategic and legal advice on a variety of issues related to complex business transactions, including analyzing and explaining contract language to team members and Lilly’s senior management in clear, concise terms. This attorney will lead the collection and coordination of agreement input from subject matter experts.

Basic Requirements:

  • J.D. from an ABA-accredited law school.
  • Candidate must be admitted to the bar in at least one of the fifty states,
  • Minimum of 5 years of legal experience either practicing as a member of a law firm in a relevant area of law or practicing in an in-house law department, preferably at a pharmaceutical or biotechnology company, or a combination of the two.

Additional Skills/Preferences:

  • Proactively find opportunities for creative and innovative solutions to transactional issues.
  • Excellent verbal and written communication skills, with the ability to productively influence others.
  • Handle outside counsel relationships, including new engagements, new matters, and ongoing billing, tracking, and performance management.
  • Demonstrated leadership and effectiveness in working with senior leadership.
  • Expertise with intellectual property law concepts, especially those relating to licensing.
  • Previous experience with equity financings and other venture capital-related transactions.
  • Regulatory and business law experience, with a focus on antitrust and life science regulatory matters.
  • Experience in leading and directing project teams.
  • Sound judgement, commitment to ethical conduct, and a high level of attention to detail.
  • Strong business insight, including familiarity with standard public company filings, financial reporting statements, and financial models.
  • Effectively prioritize and manage workflows for multiple transactions simultaneously.
  • Quick understanding of processes and integration with Lilly Legal, with the ability to absorb complex technical and scientific information on a project-by-project basis.
  • Develop or refine knowledge of current life science industry dynamics and trends, to inform strategic advice and transaction negotiations.
